Learn Flow Terms of Service

 

Effective Date: July 1, 2025

 

1. Acceptance of Terms

By accessing or using Learn Flow Ltd.’s products, services, training platforms, or website (“Services”), you agree to be bound by these Terms of Service.

 

2. Services Provided

Learn Flow Ltd. provides:

  • Custom LMS builds

  • Online course conversion

  • Agent and employee onboarding systems

  • CRM integrations, automations, and training

  • Subscription and one-time digital consulting services

 

3. Client Responsibilities

Clients must:

  • Provide accurate business details

  • Ensure content uploaded complies with applicable law

  • Maintain payment methods

  • Abide by usage restrictions

 

4. Payment Terms

  • All invoices are due as stated unless otherwise agreed

  • Subscriptions auto-renew unless canceled with 30 days’ notice

  • Late/non-payment may result in suspended access

 

5. Intellectual Property

  • Learn Flow retains ownership of all proprietary systems, templates, and branded course content

  • Clients retain rights to their original content and client data

  • Redistribution of licensed Learn Flow materials without permission is prohibited

 

6. Confidentiality

All client information, course materials, and user data are treated as confidential. Learn Flow agrees not to disclose information except where legally required.

 

7. SMS Communication

By providing your phone number, and opt-in you consent to receive SMS messages from Learn Flow Ltd. for service updates, appointment reminders, onboarding communications, and account-related notifications.

  • Message frequency varies depending on service usage

  • Message and data rates may apply depending on your carrier

  • You may opt out of SMS communication at any time by replying “STOP” or contacting [email protected]

 

8. User Accounts

  • Clients are responsible for managing their own staff/agent/student access

  • Learn Flow may suspend or terminate access for abuse, violation, or misuse of platform features

 

9. Service Modifications

Learn Flow may update platform tools and user experience at its discretion. Material changes will be communicated in advance where feasible.

 

10. Termination

  • Services may be terminated with 30 days’ notice

  • Immediate termination applies in cases of abuse, illegal activity, or nonpayment

  • Clients may request data export within 7 days of cancellation

 

11. Limitation of Liability

Learn Flow Ltd. is not liable for:

  • Revenue loss due to client misuse or misconfiguration

  • Downtime caused by third-party services or integrations

  • Liability exceeding total fees paid in the last 90 days

 

12. Dispute Resolution

All disputes shall be resolved under the jurisdiction of the Province of Ontario, Canada. Parties agree to pursue mediation before litigation.
